Terms of Service

1. About these terms

These Terms of Service ("Terms") are an agreement between you and Oxrion ("Oxrion", "we", "us", "our"). They apply when you create an Oxrion account, buy a plan or credits, or use the Service described below. If you use Oxrion for a company, you accept these Terms for that company and confirm you may do so.

Some Oxrion software can be used without an account — for example signing licenses or recovering source in Oxrion Desktop, or running protected files with the Oxrion loader. That use is covered by the Oxrion Software License. How we handle personal data is described in the Privacy Policy.

If you do not agree to these Terms, do not create an account or use the Service.

2. The Service

Oxrion protects PHP source code so it can run on a server without being readable. The Service consists of:

• The encoder service — receives the PHP files you choose to protect, protects them and returns them. It needs an account and an internet connection.
• Oxrion Console (console.oxrion.com) — your account: sign-up, plan, credits, billing, usage and your Encoder Token.
• Oxrion Desktop and the Oxrion CLI — free apps for your computer: the Encoder (which sends your files to the encoder service), and the Licenser, License History, Email & Hooks, Recovery and the Vault, which work on your computer.
• The Oxrion loader — a free PHP extension that runs protected files on a server.
• The website, the documentation at docs.oxrion.com and support.

3. Your account and Encoder Token

3.1 Your account

You must be at least 18 years old to create an account. Give accurate information and keep it up to date. You are responsible for keeping your login details safe and for everything done with your account. Each account has one subscription at a time.

3.2 Your Encoder Token

Your Encoder Token (it starts with oxe_) identifies your account to the encoder service. Anyone who has it can protect files using your quota and credits, so keep it private, like a password.

• You may share it with your own employees and contractors who protect code for you. You are responsible for their use of it.
• You may not share, sell or publish it outside your organization.
• If you think someone else has it, generate a new one in the Console right away; the old one stops working immediately. Tell us at support@oxrion.com about any unauthorized use.

4. Plans, quota and credits

Current plans and prices are shown on our pricing page.

• Free plan. Includes 20 files a month. Files protected on the Free plan run for 30 days and carry a TRIAL note; some options need a paid plan or credits.
• Paid plans. Include a number of files each month and every protection option. Paid plans differ only in their monthly number of files.
• Quota. Your monthly files renew every billing month and do not carry over. Protecting a file again with exactly the same content does not use quota again while your subscription is active.
• Credits. Bought separately in the Console. One credit protects one file, with every option. Credits do not expire. Without a subscription, every protection uses a credit, including a file you protected before. With a paid plan, credits are used after your monthly files run out (you can turn this off in the Console), and protecting a file again with exactly the same content does not use a credit.
• Credit vouchers. Oxrion partners may sell credit vouchers. Redeeming a voucher in the Console adds its credits to your account, where they work like credits bought from us. A voucher can be redeemed once, within 12 months of when the partner created it. If a voucher you bought doesn't work, contact the seller.

We may change plans and prices. A price change for an active subscription applies from your next renewal after we have told you at least 30 days in advance. Credits you already bought keep their value.

5. Payment and renewal

Purchases are processed by Lemon Squeezy, our reseller and Merchant of Record. Lemon Squeezy is the seller of record, handles payment, invoicing and sales tax or VAT, and its own terms apply to the purchase. Prices are in US dollars; taxes may be added depending on where you are.

Subscriptions renew automatically, monthly or yearly, until you cancel. You can cancel at any time in the Console; your plan stays active until the end of the period you paid for and is not renewed after that.

6. Refunds

We refund what you haven't used. You ask for it yourself on the History page of the Oxrion Console, where you see the amount before you confirm:

• Your first subscription (monthly or yearly): within 14 days of its first payment, you get back what you paid minus $0.10 for each file you protected with the plan. If those files cost as much as you paid, there is nothing to refund. The plan ends when it is refunded and is not renewed. This refund is available once per account.
• Renewals and later subscriptions are not refunded. You can cancel at any time in the Console; your plan stays active until the end of the period you paid for.
• Credits: within 14 days of a purchase, the credits from it that you haven't used are refunded at the price you paid for them. Credits are used oldest first, and the History page shows how many from each purchase are used and left. Used credits are not refunded.
• Credit vouchers are refunded by the partner who sold them, under that partner's terms. Oxrion does not refund credits that came from a voucher.

A refund can't be made while files are being protected on your account; try again when it finishes. If a problem on our side kept you from using the Service, email support@oxrion.com and we will put it right, up to a full refund. Refunds are paid through Lemon Squeezy to the original payment method. When a plan or credits are refunded, they end; files you protected and paid for keep working. When a payment is charged back, the plan, credits and options that came with it end, and your right to use files protected with it under these Terms ends too. This section does not limit any rights you have under mandatory consumer-protection law.

7. Your code

Your code stays yours. We claim no rights in the files you protect.

• Only the PHP files you choose are sent to the encoder service. They are protected in memory and returned to you; we do not keep your source code or the protected output. What we do keep is described in the Privacy Policy.
• Because we keep no copy, we cannot give you back your source code or a protected file. Keep your own backups of your original source.
• You may only protect code that you own or have the right to protect, and you are responsible for the code you protect.

8. Protected files and your customers

• Files keep running. Files protected on a paid plan or with credits keep running after your subscription ends or your account is closed, as long as a compatible Oxrion loader is installed. Files protected on the Free plan stop running 30 days after they were protected.
• Your options decide when a file runs. A file you protected with Expiry, License or Server lock stops running, or does not start, when its date has passed, when no valid license is present, or when the server's external key is missing. That is how these options are meant to work, and we are not responsible for it.
• Your customers are yours. We are not a party to any agreement between you and your customers, including the licenses you issue to them. You are responsible for your own terms with them, for supporting them, and for telling them that they need the Oxrion loader.
• Emails and webhooks. Licenses emailed or webhooks sent from Oxrion Desktop go through your own email account and to your own systems. You are responsible for what you send and for handling your customers' data lawfully.

9. Your keys, Vault and Recovery

Your license, recovery and external keys, your Vault and its password are created and kept on your computer. We never receive your private keys or your Vault password, so we cannot recover them, reset them or decrypt your Vault. If you lose them:

• without your license private key, you cannot issue new licenses for files that check that key;
• without your recovery private key, files protected with Recovery cannot be restored;
• files protected without the Recovery option can never be restored, by you or by us.

Keep backups of your Vault file and remember its password.

10. Oxrion software

Oxrion Desktop, the Oxrion CLI and the Oxrion loader are licensed to you free of charge under the Oxrion Software License. You may give the loader to your customers and their hosting providers so they can run files you protected. The Service, the software, the Oxrion name and logo, and the documentation remain ours. Nothing in these Terms transfers them to you.

11. Acceptable use

You may not:

• protect, hide or distribute malware or any code that is unlawful or infringes someone else's rights;
• reverse-engineer, decompile or disassemble the Service or Oxrion software, except where applicable law allows it despite this restriction;
• build or distribute an encoder, loader or other tool that produces or runs files in Oxrion's format, or that removes or bypasses Oxrion protection;
• remove or bypass the protection of files protected by someone else;
• bypass quotas, rate limits, plan restrictions or license checks, or create multiple accounts to get more free files;
• resell or offer the encoder service to others as your own service without our written permission;
• overload, disrupt or attack the Service or other users.

12. Availability and changes

We work to keep the Service available but do not guarantee it will be uninterrupted or error-free. Protecting files needs the encoder service; running protected files does not — the loader works on your server without contacting us. We may improve, change or remove features. If we stop offering the Service, we will tell you at least 60 days in advance, and the Oxrion loader will remain available to download so your protected files keep running.

13. Warranty and liability

The Service and Oxrion software are provided "as is" and "as available". To the extent the law allows, we make no warranties, express or implied, including fitness for a particular purpose and non-infringement. No protection method is unbreakable: Oxrion makes your code much harder to read or change, but we do not guarantee that no one will ever do so.

To the extent the law allows:

• we are not liable for indirect, incidental, special or consequential damages, or for loss of profits, revenue, data or goodwill;
• our total liability for all claims relating to the Service is limited to the amount you paid for the Service in the 12 months before the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited by law, such as liability for intent or gross negligence where that applies.

14. Suspension and termination

You can close your account at any time in the Console. We may suspend or close your account if you seriously or repeatedly break these Terms, misuse the Service, do not pay, or charge back a payment, and where possible we will tell you first. When your account is closed, you can no longer protect files; section 8 explains which protected files keep running. Sections 7 to 9, 11, 13 and 15 continue to apply after your account is closed.

15. Governing law

These Terms are governed by the laws of the Republic of Türkiye, without regard to conflict-of-law rules. The courts and enforcement offices of İstanbul have jurisdiction, unless mandatory consumer-protection law gives you the right to bring a claim in your own country.

16. Changes to these terms

We may update these Terms. We will tell you about material changes by email or in the Console at least 30 days before they take effect. If you continue to use the Service after that, the new Terms apply; if you don't agree, you can close your account before they take effect.
